1. Who We Are

PopScribe AI LLC is a California limited liability company. Email: support@popscribe.ai. Website: popscribe.ai.

2. Acceptance and Changes

By visiting our site, joining our waitlist, or using the app, you agree to these Terms and our Privacy Policy. We may update these Terms and will notify you of material changes at least 30 days before they take effect.

3. Eligibility

You must be at least 18 years old. If under 18 but at least 13, you may use PopScribe only if enrolled in a college or post-secondary institution with parental consent. PopScribe is not directed at children under 13.

You represent that your use complies with your institution's academic integrity and technology use policies.

4. What PopScribe Provides

PopScribe is a desktop app that provides: real-time transcription, AI-generated notes, instant insights, chat with notes, and AI flashcards — all using third-party services you configure with your own API keys.

We do not guarantee continuous availability. Nothing produced by the app constitutes academic, professional, medical, legal, or financial advice.

5. Beta Software

PopScribe will initially be released as beta software. It may contain bugs, missing features, and reduced accuracy. Local session data may not be compatible with future versions. We make no representation that the app will be error-free during beta.

If you provide feedback, you grant PopScribe a perpetual, royalty-free license to use it. This does not affect ownership of your personal content.

6. Your Recording Responsibilities

California Law

CA Penal Code §632 makes it a crime to record a confidential communication without all-party consent. Penalties: up to 1 year in jail, $2,500 fine, and/or $5,000 statutory damages per violation.

CA Education Code §78907 prohibits electronic recording in classrooms without instructor consent, except as a disability accommodation.

Other Jurisdictions

Federal law (18 U.S.C. §2511) requires one-party consent but does not preempt stricter state laws. All-party consent states include: FL, IL, MD, MA, MI, MT, NH, OR, PA, WA. International laws may be stricter.

FERPA

Recordings may capture other students' identifiable information. You agree not to distribute recordings in violation of FERPA or institutional student privacy policies.

Your Warranty

By using PopScribe to record, you represent that you have obtained all legally required consents, comply with all applicable laws and institutional policies, and will use recordings only for personal educational purposes.

PopScribe is a passive software tool. We do not initiate, store, or review your recordings. We bear no liability for recordings made without proper consent.

7. Bring Your Own Key (BYOK)

PopScribe uses a BYOK model. You obtain API credentials directly from third-party providers (Deepgram, Anthropic, OpenAI, Google, etc.).

• You are responsible for all API costs billed by your chosen providers
• Your use of third-party services is governed by each provider's own terms
• PopScribe is not responsible for third-party outages, price changes, or data handling
• API keys are stored in your OS credential store — we never transmit or access them
• You are responsible for keeping your API keys secure

We may offer managed pricing in the future. Those terms will be presented separately.

8. AI-Generated Content Disclaimer

AI-generated notes, flashcards, and study materials may contain inaccurate, incomplete, or misleading information. AI models can hallucinate, misquote, or reflect biases.

AI-generated notes are a study aid, not a substitute for attending class. You should verify all content against your own understanding and instructor materials. PopScribe makes no guarantee of accuracy.

9. Your Data and Local Storage

All session data is stored on your local device. We do not back it up or sync it to the cloud. You are solely responsible for backing up your data. If you uninstall without exporting, your data is permanently deleted.

10. Intellectual Property

PopScribe AI LLC owns all rights to the software, brand, and trademarks. PopScribe is not open source.

You retain all rights to your content — transcripts, notes, flashcards, and study materials. We do not need or seek any license to your content.

Lecture content may be subject to third-party intellectual property rights. You are responsible for using captured content in compliance with applicable copyright law.

11. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use PopScribe for personal, non-commercial educational purposes. You may not reverse engineer, redistribute, or use the app to build a competing product.

12. Acceptable Use

You may use PopScribe only for lawful personal educational purposes. Prohibited uses include: violating recording laws, infringing IP rights, harassment, transmitting harmful code, circumventing security, impersonation, and commercial exploitation.

13. Waitlist Terms

The waitlist is managed by GetWaitlist. Joining is free and does not guarantee access or any specific launch date. Referral benefits are governed by GetWaitlist's platform terms. Unsubscribe at any time via the link in any email.

14. Privacy

See our Privacy Policy for how we collect, use, and share information. Key points: your notes stay on your device, audio is never stored, AI providers cannot train on your data, and we do not sell personal information.

15. Disclaimer of Warranties

THE SITE, APP, AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, NON-INFRINGEMENT, ACCURACY OF AI CONTENT, AND THIRD-PARTY SERVICE AVAILABILITY.

16. Limitation of Liability

POPSCRIBE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, RECORDING CONSENT VIOLATIONS, THIRD-PARTY SERVICE FAILURES, OR ACADEMIC CONSEQUENCES.

Our total liability shall not exceed the greater of: (a) amounts paid by you to PopScribe in the preceding 12 months, or (b) $50.00 USD.

17. Indemnification

You agree to defend and hold harmless PopScribe from claims arising from: your violation of these Terms, your use of the app, recording without consent, violation of applicable law or institutional policies, infringement of third-party rights, or misuse of third-party API services.

18. Dispute Resolution

Informal resolution first: Contact support@popscribe.ai — we will attempt to resolve disputes within 30 days.

Arbitration: Disputes under $10,000 resolved via binding arbitration (AAA Consumer Rules, Alameda County, CA). Either party may use small claims court if the claim qualifies.

No class actions: All disputes resolved on an individual basis only.

19. Governing Law

These Terms are governed by the laws of the State of California. For non-arbitrated claims, exclusive jurisdiction is in the state and federal courts of Alameda County, California.

20. Termination

You may stop using PopScribe at any time. We may suspend or terminate your access for violating these Terms. Upon termination, your license is revoked. Export your data before uninstalling.

21. General Provisions

These Terms constitute the entire agreement. If any provision is unenforceable, it will be limited to the minimum extent necessary. Our failure to enforce a right does not waive it. You may not assign these Terms without our consent. Written in English; English version controls.
