1. Who We Are

2. Acceptance and Changes
By joining our waitlist, creating an account, or using the app, you agree to these Terms and our Privacy Policy. We may update these Terms and will notify you of material changes at least 30 days before they take effect.
3. Eligibility and Prohibited K-12 Use
PopScribe is designed for higher education (college, university, and graduate school) students and adult professionals. You must be at least 18 years of age to use PopScribe. If you are between 13 and 17 years old, you may use PopScribe only if you are currently enrolled in a recognized higher education institution (such as a community college or university) and have the explicit consent of your parent or legal guardian.
PopScribe is prohibited for use in primary or secondary (K-12) school settings. We do not contract with K-12 school districts, and we prohibit the recording of K-12 classrooms or minors. We will terminate any account found violating this policy and delete associated personal information.
You represent that your use complies with your institution's academic integrity and technology use policies.
4. What PopScribe Provides
PopScribe is a desktop app that provides real-time on-device transcription, AI-generated notes, notes enrichment (supplementary information retrieved from web search services), instant insights, chat with notes, and AI flashcards. AI and web-search features are provided through services PopScribe manages on your behalf.
We do not guarantee continuous availability. Nothing produced by the app constitutes academic, professional, medical, legal, or financial advice.
5. Beta Software
PopScribe will initially be released as beta software. It may contain bugs, missing features, and reduced accuracy. Local session data may not be compatible with future versions. We make no representation that the app will be error-free during beta.
During the beta period, PopScribe reserves the right to modify the database schema, local storage format, or session data structure at any time without prior notice. Such changes may result in the loss or incompatibility of previous session data. We are not liable for any data loss resulting from schema or format changes during beta.
If you provide feedback, you grant PopScribe a perpetual, royalty-free license to use it. This does not affect ownership of your personal content.
6. Your Recording Responsibilities
User Representation
By using PopScribe to record or transcribe any audio, you represent and warrant that you have the necessary rights and permissions to create transcripts and AI-generated summaries of the audio you record. This includes obtaining any required consent from instructors, institutions, or other parties whose communications may be captured.
California Law
CA Penal Code §632 makes it a crime to record a confidential communication without all-party consent. Penalties include up to one year in jail, a $2,500 fine, and/or $5,000 in statutory damages per violation.
CA Education Code §78907 prohibits electronic recording in classrooms without instructor consent, except as a disability accommodation.
Other Jurisdictions
Federal law (18 U.S.C. §2511) requires one-party consent but does not preempt stricter state laws. All-party consent states include California, Connecticut, Delaware, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, New Hampshire, Oregon, Pennsylvania, and Washington. International laws may be stricter.
FERPA
Recordings may capture other students' identifiable information. You agree not to distribute recordings in violation of FERPA or institutional student privacy policies.
Your Warranty
By using PopScribe to record, you represent that you have obtained all legally required consents, comply with all applicable laws and institutional policies, and will use recordings only for personal educational purposes.
PopScribe is a passive software tool. We do not initiate, store, or review your recordings, and we have no technical capability to access the audio or transcripts on your local device. We bear no liability for recordings made without proper consent.
7. Managed Services, Credits, and Billing
PopScribe provides access to AI note generation, notes enrichment, and web search through services we manage on your behalf. We engage providers such as Anthropic, OpenAI, Google, and web-search services as our subprocessors to deliver these features.
Credits and Billing
You must be at least 18 years old to purchase credits or enter a paid plan. Managed features are offered on a pay-as-you-go basis. If you purchase credits:
- Payments are processed by Stripe under the Stripe Services Agreement and Stripe Privacy Policy. By purchasing, you also agree to Stripe's applicable terms.
- Prices are shown at the time of purchase and may change prospectively. We will not change the price of credits you have already bought.
- You may request a refund of any unused credit balance at any time by contacting [email protected]. We will correct genuine billing errors.
- If you enable automatic reload, we will disclose the trigger and amount and obtain your separate consent before enabling it, and you can turn it off at any time.
- If your credits run out, local transcription continues to work; managed features pause until you add credits.
Service Responsibility
- Your use of managed features is subject to the underlying providers' acceptable-use terms, which prohibit unlawful or abusive use.
- We are not responsible for third-party provider outages, changes, or discontinuation, though we will make reasonable efforts to maintain service.
- You are responsible for any unintended or excessive usage resulting from your own actions. Charges are based on your use of managed features and are billed through your PopScribe account, not by any third-party provider.

8. AI-Generated Content Disclaimer
AI-generated notes, flashcards, and study materials may contain inaccurate, incomplete, or misleading information. AI models can hallucinate, misquote, or reflect biases.
You should verify all AI-generated content against your own understanding, instructor materials, and authoritative sources. PopScribe makes no guarantee of accuracy, completeness, or fitness for any particular academic or professional purpose.
Accessibility
PopScribe does not represent itself as a certified assistive technology under the Americans with Disabilities Act (ADA), Section 508, or any equivalent accessibility standard. While PopScribe may be used as a personal accommodation or study aid, you and your institution are solely responsible for determining whether PopScribe meets specific accessibility requirements. PopScribe does not guarantee screen-reader compatibility, WCAG conformance, or suitability as a formal disability accommodation as designated by an institution's disability services office.
9. Your Data and Local Storage
All session data is stored on your local device. We do not back it up or sync it to the cloud.
10. Intellectual Property
PopScribe AI LLC owns all rights to the software, brand, and trademarks. PopScribe is not open source.
You retain all rights to your content, including transcripts, notes, flashcards, and study materials. We do not need or seek any license to your content.
Lecture content may be subject to third-party intellectual property rights. You are responsible for using captured content in compliance with applicable copyright law.
11. DMCA and Copyright Notices
PopScribe's notes enrichment feature retrieves supplementary information from third-party web sources. While PopScribe does not host or store this content on its servers, we respect intellectual property rights and respond to valid copyright notices.
If you believe that content displayed by PopScribe infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent:

Your notice must include: (1) identification of the copyrighted work, (2) identification of the allegedly infringing material, (3) your contact information, (4) a statement of good faith belief, (5) a statement of accuracy under penalty of perjury, and (6) your physical or electronic signature.
We will investigate valid notices promptly. Because enrichment content is generated dynamically and not persistently hosted, our response may include updates to content filtering rather than traditional takedown procedures.
12. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use PopScribe for personal, non-commercial educational purposes. You may not reverse engineer, redistribute, or use the app to build a competing product.
13. Acceptable Use
You may use PopScribe only for lawful personal educational purposes. Prohibited uses include violating recording laws, infringing IP rights, harassment, transmitting harmful code, circumventing security, impersonation, and commercial exploitation.
Academic integrity: You agree not to use PopScribe to generate content for the purpose of academic dishonesty, plagiarism, or in violation of your institution's Honor Code or academic integrity policies. This includes submitting AI-generated notes, flashcards, or study materials as your own original work where prohibited by institutional policy.
14. Waitlist Terms
The waitlist is managed by GetWaitlist. Joining is free and does not guarantee access or any specific launch date. Referral benefits are governed by GetWaitlist's platform terms. You can unsubscribe at any time via the link in any email.
15. Privacy
See our Privacy Policy for how we collect, use, and share information. Key points: your notes stay on your device, audio is processed on-device and never stored by us, AI providers cannot train on your data, and we do not sell personal information.
If a security incident affects your account data, we will notify you as required by applicable law. See our Privacy Policy for details.
16. International Users
PopScribe is based in the United States and intended for users in the United States. We do not target or direct our services to individuals in the European Economic Area (EEA) or the United Kingdom. If you access PopScribe from outside the United States, you do so at your own risk and are responsible for compliance with your local laws.
Data processing: Certain services, such as our waitlist (GetWaitlist), support email, analytics, managed features, and billing, may collect and process personal information such as your email address in the United States. To the extent we process personal data of individuals in the EEA or UK, we rely on Standard Contractual Clauses. See our Privacy Policy for details on legal bases for processing and your rights.
17. Disclaimer of Warranties
The site, app, and all services are provided "as is" and "as available," without warranty of any kind. We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI content, and third-party service availability.
18. Limitation of Liability
PopScribe is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, recording-consent violations, third-party service failures, or academic consequences.
Our total liability shall not exceed the greater of: (a) amounts paid by you to PopScribe in the preceding 12 months, or (b) $100.00 USD.
Nothing in this Section limits liability that cannot be excluded or limited under applicable law, such as liability for fraud, gross negligence, or willful misconduct.
19. Indemnification
You agree to indemnify, defend, and hold harmless PopScribe AI LLC and its officers, employees, and agents from any claims, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your use of the app or managed features; (c) any recording you make without required consent; (d) your violation of applicable law or institutional policy; or (e) your infringement of any third-party right.
20. Dispute Resolution
Informal resolution first: Before filing a claim, contact [email protected], and we will try to resolve the dispute within 30 days.
Small claims and courts: Either party may bring a qualifying claim in small claims court. Any other dispute will be resolved in the courts identified in Section 21.
21. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and PopScribe agree to the exclusive jurisdiction and venue of the state and federal courts located in Alameda County, California.
22. Termination
You may stop using PopScribe at any time. We may suspend or terminate your access for violating these Terms. Upon termination, your license is revoked. Export your data before uninstalling.
23. General Provisions
These Terms constitute the entire agreement. If any provision is unenforceable, it will be limited to the minimum extent necessary. Our failure to enforce a right does not waive it. You may not assign these Terms without our consent. These Terms are written in English, and the English version controls.
